Welcome to the one hundred eighty-fifth edition of the Japan FinTech Observer.

The past week was dominated by discussions around various forms of debt financing. First, questions raised by members of the Google for Startups community during a lunch session were mostly geared towards this domain. Second, one out of two tracks at the Mizuho Startup Frontier Summit 2026 discussed various examples of debt-based startup financing. Third, the FSA's second "Working group on the Provision of Funds to Growing Companies" also focused on diversifying the sources of capital. We have minuted the Mizuho and FSA sessions in quite a bit of detail.

Here is what we are going to cover this week:

- Venture Capital & Private Markets: Megabanks participate in Flyle's JPY 1.88bn Series A to expand AI agents in contact centers; tax refund startup Ocean secures JPY 500m Series A ahead of Japan’s overhaul on duty-free shopping rules; Japanese MedTech startup Henry raises JPY 1.2bn in debt-led financing to address rural healthcare crisis; SBI Investment and Hankyu Hanshin Holdings launch JPY 4bn CVC fund to drive regional and new business growth; the FSA's "Working group on the Provision of Funds to Growing Companies"; Mizuho Startup Frontier Summit 2026 - Capital architecture and debt financing strategies for high-growth and DeepTech startups
- Insurance: FSA slams Prudential entities with business suspension orders over widespread financial misconduct and governance failure
- Banking: Sumitomo enters strategic capital alliance with FinTech firm MILIZE to drive AI-powered financial services
- Capital Markets: Eurex to introduce Japanese Single Stock Futures and Single Stock Dividend Futures; Bloomberg has completed the first successful fully automated Japanese Government Bond (JGB) Market-on-Close trade; periodic review and initial selection of constituents of TOPIX and other stock price indices
- Asset Management: Resona Asset Management partners with NowCast to automate fund documentation on Snowflake
- Digital Assets: Startale Japan issues landmark digital bond settled entirely in Yen stablecoin; SBI Holdings, Mesh Connect, and Money Forward partner to form digital asset joint venture in Japan; KDDI integrates crypto wallet into au PAY app, accelerating web3 financial adoption in Japan; Monex subsidiary Coincheck deploys Authlete's IdP engine ahead of 'Crypto as a Service' push

### Venture Capital & Private Markets

- [Megabanks participate in Flyle's JPY 1.88bn Series A to expand AI agents in contact centers](https://www.fintechobserver.com/megabanks-participate-in-flyles-jpy-1-88bn-series-a-to-expand-ai-agents-in-contact-centers/): Tokyo-based startup Flyle has raised ¥1.88 billion ($12.6 million) in Series A funding to scale its AI agent platform designed for enterprise contact center operations and customer experience (CX) management; the round brings the company’s total raised capital since inception to approximately ¥22.7 billion; the funding round drew participation from a range of prominent venture capital firms and strategic investors, including ALPHA, ALL STAR SAAS FUND, Firstlight Capital, Aflac Ventures Japan, Japan Post Capital, Salesforce Ventures, Mitsubishi UFJ Capital, Mizuho Capital, and SMBC Venture Capital
- [Tax refund startup Ocean secures JPY 500m Series A ahead of Japan’s overhaul on duty-free shopping rules](https://www.fintechobserver.com/tax-refund-startup-ocean-secures-jpy-500m-series-a-ahead-of-japans-overhaul-on-duty-free-shopping-rules/): Ocean Inc., a Tokyo-based FinTech startup operating the refund-model duty-free platform "Ocean Tax Refund," has finalized its Series A funding round, raising approximately ¥500 million (US$3.3 million); the company reached a second close for the round following new investments from KURONEKO Innovation Fund No. 2—a corporate venture capital arm jointly managed by Yamato Holdings and Global Brain Corporation—and Shizuoka Capital, the venture investment subsidiary of Shizuoka Financial Group; this follows the initial tranche announced in September 2026
- [Japanese MedTech startup Henry raises JPY 1.2bn in debt-led financing to address rural healthcare crisis](https://www.fintechobserver.com/japanese-medtech-startup-henry-raises-jpy-1-2bn-in-debt-led-financing-to-address-rural-healthcare-crisis/): Healthcare technology startup Henry Inc. has secured ¥1.2 billion ($8.1 million approx.) in a new funding round combining venture debt and equity to expand its cloud-native electronic medical records (EMR) platform across regional Japan; the transaction is structured around an ¥1.1 billion venture debt syndicated loan arranged by The Shizuoka Bank, consisting entirely of regional banks, including The Bank of Fukuoka, The Joyo Bank, The Bank of Nagoya, and The Yamanashi Chuo Bank; the debt facility is supplemented by a ¥100 million equity investment from two regional venture capital firms, YMFG Capital and Hokuhoku Capital
- [SBI Investment and Hankyu Hanshin Holdings launch JPY 4bn CVC fund to drive regional and new business growth](https://www.fintechobserver.com/sbi-investment-and-hankyu-hanshin-holdings-launch-jpy-4bn-cvc-fund-to-drive-regional-and-new-business-growth/): SBI Investment, a venture capital subsidiary of SBI Holdings, has partnered with Hankyu Hanshin Holdings to establish a new 4 billion yen corporate venture capital (CVC) fund; the new vehicle, officially named the Hankyu Hanshin Innovation Partners No. 2 Investment Limited Partnership, was launched with a planned 10-year operational term; managed by SBI Investment, the fund builds on the success of the duo’s initial 3 billion yen CVC fund established in April 2021
- [The Worldfolio - WM Partners Advances Japan’s Private Capital Market Through Growth Investing, Secondaries and Emerging Managers](https://www.theworldfolio.com/interviews/wm-partners-advances-japans-private-capital-market-through-growth-investing-secondaries-and-emerging-managers/7572/?ref=fintechobserver.com): WM Partners is a Japanese private equity firm founded in 2013 that focuses on growth investing, secondaries and support for emerging venture capital managers; beyond providing capital, the firm works closely with management teams while also helping strengthen the infrastructure, liquidity and institutional foundations of Japan’s broader private capital market

Debt Financing

- [The FSA's "Working group on the Provision of Funds to Growing Companies"](https://www.fintechobserver.com/the-fsas-working-group-on-the-provision-of-funds-to-growing-companies/): Japan’s overarching macroeconomic strategy is shifting from a legacy, bank-centric indirect financing ecosystem toward a dynamic capital market supplied with diversified risk capital; the Financial Services Agency (FSA) Working Group on the Provision of Funds to Growing Companies (2nd Meeting, held October 9, 2026) marks an essential mechanism in this legal and operational realignment; accelerating the transition beyond standard, collateral-backed bank loans into diversified growth capital—comprising Private Equity (PE), mezzanine credit, and venture debt—is vital for executing large-scale corporate carve-outs, facilitating smooth business succession, strengthening international industrial competitiveness, and fostering regional economic revitalization
- [Mizuho Startup Frontier Summit 2026 - Capital architecture and debt financing strategies for high-growth and DeepTech startups](https://www.fintechobserver.com/mizuho-startup-frontier-summit-2026-capital-architecture-and-debt-financing-strategies-for-high-growth-and-deep-tech-startups/): The Japanese startup financing ecosystem is evolving; historically constrained by equity-dilutive financing or rigid corporate loans tied to historical performance, high-growth technology ventures face critical capital bottlenecks during expansion; as demonstrated throughout the Mizuho Startup Frontier Summit 2026, navigating modern commercialization requires a paradigm shift toward sophisticated capital architecture; startup executives, financial institutions, and policy makers must transition from conventional corporate credit underwriting to advanced structured debt mechanisms; by utilizing non-recourse asset-backed debt, specialized early-stage venture debt, and public-private syndicated financing facilities, high-growth ventures can fund capital-intensive scaling while preserving founder equity and governance control; the convergence across the summit's three core sessions on venture financing that we attended, illustrates a clear spectrum of debt enablement across distinct stages of enterprise maturity and technological risk; the key takeaway of this summit is that alternative debt structures allow startups to decouple operational expansion from parent-level corporate credit limits and equity dilution; by isolating discrete asset classes, validating non-traditional behavioral data pipelines, and combining public grant subsidies with commercial debt, pre-revenue deep-tech ventures and asset-heavy enterprises can transform non-traditional cash flows into bankable financial assets
