Tokyo-listed FinTech provider Money Forward is a leading Japanese Software-as-a-Service (SaaS) and financial technology company. The firm provides business-to-business (B2B) cloud software covering accounting, human resources, and contract management—currently serving over 493,000 paying business clients—alongside a personal finance management (PFM) application with 18.3 million users.

Money Forward announced the September launch of "Money Forward Payroll Outsourcing," an AI-managed service designed to handle full-scope payroll calculation operations for mid-sized and large enterprises.

The service addresses increasing operational complexity driven by labor law revisions, work style reforms, and persistent back-office labor shortages in Japan. By shifting from pure software provision to end-to-end operational execution, the company aims to reduce personnel dependency and minimize manual errors in human resources workflows.

The new offering pairs autonomous artificial intelligence with specialized human staff:

- **Automated & AI Processing:** Features progressive rollout of AI capabilities, including rule learning and automated data matching.
- **Expert Support:** Specialist operators manage non-routine tasks, handle attorney liaisons, and assist with initial workflow design.
- **Core Functionality:** Covers payroll and bonus calculations, attendance data aggregation, statement issuance, employee master data updates, and employee inquiry support.

This launch expands Money Forward's existing lineup of B2B AI-managed outsourcing services, which already includes accounting, billing and collection, and lease contract management.

### Stock Performance

Money Forward’s shares traded across a 52-week range of ¥2,750.50 to ¥7,035.00, recently hovering near multi-year highs.

- **Profitability Pivot:** Investor sentiment shifted positively following the company’s FY2025 performance, where Money Forward posted its first net-profitable full year (¥1.5 billion net profit) compared to a ¥6.3 billion net loss in the previous fiscal year.
- **Margin Expansion:** Continued revenue growth (\~25–28% YoY) paired with expanding adjusted EBITDA (aiming for ¥8 billion to ¥10 billion in FY2026) has helped re-rate the stock as top-line SaaS growth converts into bottom-line operating cash flows.

US-based activist hedge fund ValueAct Capital has built a major position in Money Forward over the past year:

- **Rapid Stake Accumulation:** ValueAct first disclosed a 5.62% position in July 2025\. Through repeated regulatory filings (EDINET), ValueAct expanded its ownership to 17.94% (holding nearly 10 million shares).
- **Stated Intent:** ValueAct’s regulatory disclosures classify the holding as investment while explicitly retaining the right to make "significant proposals" to management regarding corporate strategy, capital allocation, and governance enhancement.
- **Strategic Impact:** ValueAct’s track record in Japan focuses on constructive, board-level engagement to accelerate operational efficiency and software monetization (similar to past campaigns at Olympus and Seven & i Holdings). Their presence has put structural pressure on Money Forward to optimize its cost structures, prioritize high-margin BPO/AI lines, and deliver shareholder returns.
