SBI Holdings Partners with Cross River Parent to Launch Japan Joint Venture, Plans Strategic Stake
Financial services conglomerate SBI Holdings has entered into a preliminary agreement with CRB Group, the parent entity of U.S.-based Cross River Bank, to establish a strategic alliance, take an equity stake, and form a Japan-based joint venture.
Under the basic agreement the two financial groups intend to launch a joint venture targeting Japan and the wider Asia-Pacific market, subject to definitive contracts and regulatory approvals. The proposed venture will focus on three key operational pillars:
- Developing, structuring, and distributing tokenized real-world asset (RWA) products, specifically including loan receivables.
- Offering cross-border payment rails leveraging the shared banking and settlement infrastructure of both groups.
- Building payment solutions designed for "agentic commerce," enabling financial transactions executed autonomously by artificial intelligence agents.
As part of the pact, SBI Holdings confirmed plans to make a direct strategic investment into New Jersey-based CRB Group.
The alliance also outlines extensive cross-platform integration across institutional digital finance and private markets. Cross River intends to integrate "JPYSC"—a trust-type, yen-denominated stablecoin co-developed by SBI and Startale Group and issued by SBI Shinsei Trust Bank—as a settlement mechanism across its platform for institutional trading, tokenized asset settlements, and cross-border payments.
Additionally, the parties plan to:
- Distribute Cross River’s embedded banking and payment solutions to consumer and commercial clients in Japan and APAC via SBI’s distribution network.
- Distribute SBI Group’s on-chain financial products directly through Cross River’s platform.
- Explore an arrangement for SBI Holdings to serve as a strategic anchor investor in a new Cross River-linked asset management vehicle centered on private credit and structured finance.
Founded in 2008, Cross River Bank operates an embedded finance and banking-as-a-service (BaaS) platform in the United States. In 2026, the bank powered the launch of the first peer-to-peer (P2P) payment service integrated directly into a major U.S. social media network and introduced transaction settlement capabilities for autonomous AI agents.
Tokyo-based SBI Holdings has steadily expanded its global digital asset footprint, operating trading venues including SBI VC Trade in Japan and Coinhako in Singapore alongside its traditional securities, banking, and private equity arms.
All proposed initiatives remain contingent upon formal negotiations, the execution of definitive legal agreements, and receipt of required regulatory authorizations in both Japan and the United States.
