SBI Sumishin Net Bank's Renaming, Capital Restructuring & Strategic Collaboration

NTT DOCOMO, Sumitomo Mitsui Trust Bank, and SBI Sumishin Net Bank have decided to change the latter's trade name to "DOCOMO SMTB Net Bank" effective Monday, August 3, 2026. This name change is subject to approval by the relevant authorities.

Additionally, with the aim of further growth of SBI Sumishin Net Bank and strengthening the partnership between DOCOMO and Sumitomo Mitsui Trust Bank in joint management, a capital restructuring of SBI Sumishin Net Bank will be implemented on Thursday, December 25, 2025.

Furthermore, collaborative initiatives aimed at creating new value by leveraging each company's management resources will be launched iteratively.

Regarding the New Trade Name

On Wednesday, October 1, 2025, SBI Sumishin Net Bank became a consolidated subsidiary of DOCOMO, establishing a joint management structure between DOCOMO and Sumitomo Mitsui Trust Bank. The trade name "DOCOMO SMTB Net Bank" embodies the strong commitment of shareholders DOCOMO and Sumitomo Mitsui Trust Bank to cooperate mutually and contribute to the further growth of SBI Sumishin Net Bank.

The new service brand "d NEOBANK" was launched on Wednesday, October 1, 2025. Going forward, by combining DOCOMO's membership base and diverse channels such as DOCOMO shops with Sumitomo Mitsui Trust Bank's banking management expertise and advanced financial services know-how, the partners aim to further enhance the corporate value of SBI Sumishin Net Bank.

Regarding the Capital Restructuring

DOCOMO, Sumitomo Mitsui Trust Bank, and SBI Sumishin Net Bank will conduct a capital restructuring of SBI Sumishin Net Bank to further strengthen the partnership between DOCOMO and Sumitomo Mitsui Trust Bank in joint management and promote further growth of SBI Sumishin Net Bank.

Specifically, on Thursday, December 25, 2025, DOCOMO will transfer a portion of its common shares in SBI Sumishin Net Bank to Sumitomo Mitsui Trust Bank. Additionally, on the same day, SBI Sumishin Net Bank will conduct a third-party allocation of new shares to Sumitomo Mitsui Trust Bank to strengthen its capital base for further growth.

The voting rights ratio of DOCOMO and Sumitomo Mitsui Trust Bank will remain unchanged.

Overview of Stock Transfer Between DOCOMO and Sumitomo Mitsui Trust Bank

A portion of the common shares (approximately 50 billion yen) in SBI Sumishin Net Bank held by DOCOMO will be transferred to Sumitomo Mitsui Trust Bank.

Overview of Third-Party Allocation of New Shares by SBI Sumishin Net Bank

The third-party allocation of new shares (common shares, approximately 30 billion yen) conducted by SBI Sumishin Net Bank will be entirely allocated to Sumitomo Mitsui Trust Bank.

Shareholding Ratio and Voting Rights Ratio After the Transaction

After the stock transfer and third-party allocation, the shareholding ratio of DOCOMO and Sumitomo Mitsui Trust Bank will be 55.37%:44.63%. However, by converting the Class A preferred shares held by DOCOMO into common shares, the voting rights ratio will be adjusted to 50% each.

The stock transfer, payment date for the third-party allocation, and conversion of Class A preferred shares to common shares are all scheduled for Thursday, December 25, 2025.

Regarding Collaborative Initiatives

DOCOMO, Sumitomo Mitsui Trust Bank, and SBI Sumishin Net Bank will sequentially launch collaborative initiatives aimed at creating new value.

Collaborative Initiatives Between DOCOMO and SBI Sumishin Net Bank

(1) Earn DOCOMO's d points by using your bank account

The partners plan to offer attractive benefits where d points can be earned by using eligible banking services such as salary deposits and account transfers at SBI Sumishin Net Bank, as well as by using it in combination with DOCOMO services.

(2) Receive benefits through DOCOMO services × bank account

The partners plan to offer benefits that increase the d point redemption rate when SBI Sumishin Net Bank is set as the withdrawal account for "dCard®" and "dCard" is used for shopping. Additionally, for "dCard," the plan is to offer benefits based on the deposit amount in SBI Sumishin Net Bank's account. The partners also plan to provide various other attractive benefits by using DOCOMO services together with SBI Sumishin Net Bank's account.

(3) Preferential mortgage interest rates for DOCOMO service users

The companies plan to offer preferential mortgage interest rates at SBI Sumishin Net Bank for customers using DOCOMO services.

(4) Integration of SBI Sumishin Net Bank and Monex Securities services

Through a simultaneous account opening function that allows customers to apply for and open both a bank account at SBI Sumishin Net Bank and a securities trading account at Monex Securities in one series of procedures, the companies will streamline various applications.

The partners also plan to provide a sweep function that facilitates fund transfers between SBI Sumishin Net Bank and Monex Securities accounts. This will enable automatic fund transfers from SBI Sumishin Net Bank's ordinary deposit account to Monex Securities' securities trading account, allowing customers to trade at Monex Securities without performing deposit/withdrawal operations.

The companies also plan to offer benefits that make it more advantageous to use services from DOCOMO, SBI Sumishin Net Bank, and Monex Securities.

Collaborative Initiatives Between Sumitomo Mitsui Trust Bank and SBI Sumishin Net Bank

(1) Expanded handling of "Sumitomo Mitsui Trust NEOBANK" mortgages

Sumitomo Mitsui Trust Bank will expand its handling of mortgages under "Sumitomo Mitsui Trust NEOBANK." Sumitomo Mitsui Trust Bank will provide one-stop support from consultation to application for "Sumitomo Mitsui Trust NEOBANK" mortgages, which feature attractive interest rates and comprehensive coverage.

(2) Integrated use of Sumitomo Mitsui Trust Bank × SBI Sumishin Net Bank products and services

The companies will iteratively provide SBI Sumishin Net Bank customers with Sumitomo Mitsui Trust Bank's diverse products and services that leverage high expertise, such as Sumitomo Mitsui Trust Fund Wrap and other asset management, real estate, and inheritance services.

They will also strengthen the linkage between Sumitomo Mitsui Trust Bank accounts and "Sumitomo Mitsui Trust NEOBANK" accounts so that Sumitomo Mitsui Trust Bank customers can use "Sumitomo Mitsui Trust NEOBANK" as a convenient account for daily use.

(3) Providing investment opportunities in private assets through SBI Sumishin Net Bank

Sumitomo Mitsui Trust Bank will develop investment products that invest in private assets, which have low liquidity but offer stable investment returns, and provide them to SBI Sumishin Net Bank customers.

Collaborative Initiatives Between DOCOMO and Sumitomo Mitsui Trust Bank

(1) Exchange points earned from using Sumitomo Mitsui Trust Bank products and services for d points

The "Smart Life Designer Points Program," which allows customers to earn points through Sumitomo Mitsui Trust Bank's asset management app "Smart Life Designer," will begin on Tuesday, January 13, 2026. Points earned through the "Smart Life Designer Points Program" will be exchangeable for d points from Tuesday, March 31, 2026 onward.

Additionally, from the start date of the "Smart Life Designer Points Program," Sumitomo Mitsui Trust Bank will hold new campaigns offering preferential time deposit interest rates and point awards to commemorate the business alliance with DOCOMO.

Furthermore, the companies are considering enabling the exchange of accumulated points for d points in Sumitomo Mitsui Trust Bank's "Kabunushi Passport" app around fiscal year 2026.

(2) Provision of other new services

The partners will proceed with the development and consideration of new financial products utilizing NTT Group assets, in addition to asset management and inheritance services utilizing the digital technologies of DOCOMO and Sumitomo Mitsui Trust Bank.

DOCOMO, Sumitomo Mitsui Trust Bank, and SBI Sumishin Net Bank will leverage each company's strengths to create a "future where there is no boundary between daily life and finance," where financial services naturally blend into daily life, from everyday use to services requiring expertise.
