South Korean financial technology group Viva Republica, the operator of the mobile financial super-app Toss, has agreed to acquire a 100% equity stake in Japanese smartphone-based brokerage Cheer Securities from Tokai Tokyo Financial Holdings.

The board of directors of Tokai Tokyo Financial Holdings formally ratified the share transfer agreement on October 30, 2026, approving the disposition of all 955,000 common shares of Cheer Securities to Toss Global, Viva Republica’s Singapore-incorporated international operations subsidiary. While the contracting parties declined to formally disclose the financial consideration in their exchange filings, transaction participants and market disclosures estimate the equity purchase price at approximately ¥4.0 billion (KRW 34.0 billion / $25.4 million). The transaction is scheduled to close within the second half of fiscal year 2026, targeting full completion before March 31, 2027, contingent upon regulatory approvals from the Japanese Financial Services Agency (FSA) and the fulfillment of customary pre-closing conditions.

The divestment brings an end to Tokai Tokyo’s five-year proprietary effort to build a standalone digital retail brokerage. For Tokai Tokyo, the transaction represents the third major portfolio divestment executed during calendar year 2026, advancing an aggressive capital-reallocation program designed to eliminate non-core operating losses and concentrate group resources on wealth management and wholesale financial services. For Viva Republica, the transaction capstones an 18 months target search and acquisition process, while securing an operational beachhead in Japan’s rapidly expanding retail equity market by inheriting Cheer Securities’ Type I Financial Instruments Business Operator license.

## Cheer Securities: Commercial Background and Financial Profile

Tokai Tokyo originally established the brokerage in November 2019 under the provisional corporate moniker 3.0 Securities Preparatory Company, rebranding the unit as Cheer Securities as part of an initiative to capture Japan’s emerging class of digital-native retail asset builders. Historically reliant on high-touch branch networks and traditional relationship managers, Tokai Tokyo sought to develop a direct-to-consumer digital channel capable of delivering mobile-first fractional share trading, foreign stock brokerage, and automated recurring investment trusts.

Cheer Securities secured its registration as a Type I Financial Instruments Business Operator in November 2021, commencing live commercial trading operations aimed at novice market participants. The company expanded its service architecture to support the overhauled Nippon Individual Savings Account (NISA) tax-exempt framework, while introducing discretionary robo-advisory products (*Omakase Unyo*). In April 2025, Tokai Tokyo merged Cheer Securities with its proprietary platform development affiliate, TT Digital Platform, seeking to rationalize software expenditures and streamline customer acquisition funnels.

Despite systemic tailwinds generated by Japan’s national asset-building campaign, Cheer Securities failed to attain the operating scale necessary to achieve commercial self-sufficiency. The digital brokerage logged continuous annual net losses from its inception through 2026\. In the fiscal year ended March 31, 2026, Cheer Securities reported a consolidated net loss of approximately ¥3.0 billion, pressured by heavy software amortization charges, platform overhead, and escalated customer acquisition expenses against entrenched zero-commission online market leaders. As Tokai Tokyo prioritized immediate balance-sheet returns, the persistent drain on group earnings prompted executive leadership to seek an outright strategic trade sale.

## Tokai Tokyo’s 2026 Divestment Drive: Capital Optimization and Restructuring

The disposition of Cheer Securities forms part of a coordinated program of asset disposals executed by Tokai Tokyo Financial Holdings throughout calendar year 2026\. Under its overarching medium-term management plan, titled "Beyond Our Limits," the financial group established key goal indicators targeting a return on equity of 12% and client financial assets under custody of ¥12 trillion. Although consolidated net operating revenue and brokerage commissions surged in the fiscal year ended March 31, 2026—generating an ROE of 8.8%—management concluded that structural returns were dampened by peripheral, capital-dilutive retail subsidiaries.

To optimize its business portfolio through disciplined asset selection and concentration (*sentaku to shuchu*), Tokai Tokyo executed three major corporate carve-outs in 2026, systematically exiting non-core retail insurance and mobile brokerage operations.

### The Divestment of ETERNAL

On March 31, 2026, Tokai Tokyo completed the full sale of its 100% equity stake (4,000,240 shares) in consolidated subsidiary ETERNAL to Hoken Minaoshi Hompo Group, a domestic insurance agency operator backed by private equity firm KKR and Japanese strategic partner Japan Post Insurance. Tokai Tokyo had originally acquired ETERNAL in March 2017 to pursue retail cross-selling by operating physical storefronts. ETERNAL ran over 40 walk-in locations under the "Hoken Terrace" banner across major shopping malls in Tokyo, Nagoya, and Osaka. Rising lease obligations, administrative staffing burdens, and changing retail habits prompted Tokai Tokyo to divest the operation, booking extraordinary gains on the sale of subsidiary shares for the fiscal year ended March 31, 2026.

### The Management Carve-Out and Liquidation of Mebius

Less than two months later, Tokai Tokyo dismantled its outbound face-to-face insurance advisory channel. On May 12, 2026, the group concluded the transfer of the life and general insurance distribution operations of subsidiary Mebius via an absorption-type corporate split (*kyushu bunkatsu*).

The operating business was transferred to Mebius Preparation Company, a management buyout vehicle organized by Mebius Chief Executive Naoya Kawaguchi, with Funai Soken Agata FAS acting as financial advisor to the buyout group. The operating entity adopted the Mebius corporate name, while the residual corporate shell retained by Tokai Tokyo was renamed Milton Liquidation Company (*Kabushiki Kaisha Milton Seisan Kaisha*). Milton Liquidation formally executed its dissolution, concluding liquidation proceedings in August 2026\. The transaction yielded an extraordinary pre-tax gain on the sale of businesses amounting to ¥2,828 million, recorded in Tokai Tokyo’s financial results for the first quarter ended June 30, 2026.

These asset divestments yielded an immediate impact on group balance-sheet metrics. Relieved of operational losses from Mebius and ETERNAL, and aided by buoyant trading liquidity across the Tokyo Stock Exchange, Tokai Tokyo posted an annualized consolidated ROE of 10.3% for the first half ended September 30, 2026, having touched 14.7% in the first quarter. The sale of Cheer Securities removes the final retail operating unit generating multi-billion-yen annual deficits, directly serving Tokai Tokyo’s corporate strategy to protect operating margins and redeploy surplus capital into its wealth management division, Orque d'Or, and regional joint ventures.

## South Korea’s Tokyo Inbound Wave: Comparative Structural Analysis

Viva Republica’s acquisition of Cheer Securities highlights an intensifying wave of cross-border financial acquisitions driven by South Korean conglomerates seeking growth beyond their domestic borders. The Japanese retail investment sphere has emerged as an attractive target, catalyzed by corporate governance reforms on the Tokyo Stock Exchange, elevated domestic inflation, and the Japanese government’s expanded tax-exempt NISA framework, which has accelerated a historic reallocation from bank cash deposits into capital-market equities.

Viva Republica’s transaction followed directly upon another major cross-border acquisition announced just 24 hours earlier. On October 29, 2026, Mirae Asset Securities—South Korea’s largest investment banking and securities firm by equity capital—confirmed board approval to acquire a 100% equity stake in Tokyo-based Sanko Securities from Okasan Securities Group.

Both cross-border transactions reveal a uniform market-entry strategy: acquiring legacy Type I Financial Instruments Business Operator registrations to bypass Japan's strict regulatory licensing process. Applying for an entirely new Type I brokerage license through the Japanese FSA is a resource-intensive, multi-year administrative undertaking subject to stringent institutional scrutiny. By purchasing established subsidiaries from Japanese regional securities groups looking to streamline, both Viva Republica and Mirae Asset secured immediate operational infrastructure, clearance access, and customer custodial frameworks.

Viva Republica’s strategic thesis centers on transplanting the mobile brokerage model pioneered by Toss Securities in South Korea. After introducing its retail brokerage service in 2021, Toss Securities achieved 10 million registered trading accounts by September 2026, delivering record half-year net income of KRW 236.8 billion for the first six months of 2026\. Viva Republica aims to adapt Cheer Securities’ infrastructure to match the intuitive user experience of the Toss super-app, targeting Japanese individual investors in their 20s and 30s who remain underserved by incumbent domestic wirehouses. The firm also intends to leverage rising bilateral travel and tourism between South Korea and Japan to explore cross-border payment integration and retail foreign exchange solutions.

## Regulatory Hurdles and Operating Outlook

Despite the operational advantages of acquiring an active brokerage shell, Viva Republica faces regulatory and competitive hurdles as it integrates Cheer Securities into Toss Global.

On the regulatory front, closing the transaction requires thorough review by the Japanese FSA. Under supervisory guidelines revised in 2022, substantial changes in the controlling ownership of a registered Type I Financial Instruments Business Operator trigger review protocols equivalent to a new license application. Regulators will review Toss Global's capital adequacy, cross-border corporate governance, and data localization practices. Furthermore, platform operational resilience will face scrutiny following industry-wide cybersecurity breaches and unauthorized account intrusions across Japan's financial sector in 2025, which led domestic authorities to mandate multi-factor authentication across 76 licensed brokerages.

On the commercial front, Viva Republica must reverse the chronic financial losses that weighed down Cheer Securities under Tokai Tokyo's ownership. The Japanese retail brokerage landscape is characterized by fierce pricing pressure, led by dominant online brokerages such as SBI Securities and Rakuten Securities, which eliminated domestic cash equity transaction commissions entirely. To achieve sustainable profitability without relying on retail equity trading commissions, Viva Republica will need to rapidly scale active account volumes, maintain cost discipline, and expand higher-margin ancillary business lines, such as U.S. and foreign equity trading, margin financing, and specialized asset accumulation products.

For Tokai Tokyo Financial Holdings, the sale of Cheer Securities establishes a leaner group operational structure. Having shed legacy storefront overhead in ETERNAL, field agency expenses in Mebius, and recurring platform losses in Cheer Securities, the group enters calendar 2027 with a streamlined capital allocation framework, providing structural support to help achieve its 12% ROE corporate target.
