ITOCHU and Mercuria Back Duty-Free Software Provider Ahead of Japan’s Tax Refund Overhaul
Trading house ITOCHU has partnered with Mercuria Holdings and En Growth Fund to jointly invest in Capital Ship, the holding company of domestic duty-free system developer Smart Technologies & Resources Inc.
The transaction comes ahead of a nationwide regulatory overhaul scheduled for November 2026, which will restructure Japan's duty-free shopping mechanism. Under the incoming rules, overseas travelers will no longer receive upfront tax exemptions at retail counters; instead, they will pay tax-inclusive prices at checkout and claim consumption tax refunds upon departure after clearing airport customs. This shift has created an immediate industry requirement for specialized infrastructure capable of managing back-end refund processing.
The regulatory transition coincides with record expansion across Japan’s inbound tourism sector. In 2025, foreign visitor arrivals reached an all-time high of roughly 42.7 million, with traveler spending climbing to a record ¥9.5 trillion, according to Japan Tourism Agency data.
Founded in September 2018 with ¥100 million in capital, Smart Technologies currently provides services to more than 2,500 retailers nationwide. Its core product portfolio features SmartDetax, an artificial intelligence tool aimed at streamlining in-store duty-free operations, alongside JPrefund, a platform that facilitates consumption tax reimbursements for qualifying visitors. The company has already engineered software compatible with the forthcoming 2026 departure-refund framework, with select retail partners already deploying the system.
The equity investment builds upon a strategic alliance ITOCHU established with Smart Technologies in January 2026, which involved merchant onboarding and operational support in conjunction with ITOCHU's business process outsourcing affiliate, BELLSYSTEM24. Moving forward, ITOCHU and Mercuria plan to integrate their payment networks, corporate client bases, and financial capabilities to scale Smart Technologies’ operational footprint. The consortium also intends to monetize customer touchpoints and transaction data gathered through duty-free purchases to develop inbound data marketing and retail promotional services.
