Shiga Bank and Senshu Ikeda Holdings to Integrate Operations in JPY 14trn Kansai Tie-Up

Japan’s The Shiga Bank and Senshu Ikeda Holdings have entered into a basic agreement to integrate their operations by April 2028, setting the stage to form the Kansai region's largest regional banking group by gross assets.

The proposed business combination will unite Shiga Bank—anchored in Shiga and Kyoto prefectures—with Senshu Ikeda Holdings, whose banking arm focuses primarily on Osaka and Hyogo prefectures. On a simple aggregate basis, the combined group would control approximately ¥14.26 trillion ($93 billion) in consolidated gross assets, ¥11.82 trillion in deposits, and ¥9.51 trillion in outstanding loans, based on March 2026 figures, alongside a combined market capitalization topping ¥1 trillion as of late September 2026.

Transaction Structure and Governance

The transaction is structured as a share exchange, under which Senshu Ikeda Holdings will adopt a new trade name and serve as the integrated holding company. Shiga Bank will become a wholly owned subsidiary of the holding company through the share swap, triggering the delisting of Shiga Bank’s shares from the Prime section of the Tokyo Stock Exchange ahead of the effective date.
Rather than executing an operational bank merger, both core subsidiaries—The Shiga Bank, Ltd. and The Senshu Ikeda Bank, Ltd.—will continue to operate under their existing brand names and maintain their respective headquarters in Otsu and Osaka. The parties also stated that large-scale branch closures are not currently planned across their combined 272-branch network.

The share exchange ratio will be determined prior to the execution of a definitive agreement following due diligence and third-party financial valuations.

Deal Timeline and Regulatory Milestones

The transaction follows a preliminary roadmap subject to regulatory and shareholder approvals:

  • October 29, 2026: Execution of the basic agreement.
  • April 2027 (Target): Execution of the definitive business integration agreement.
  • December 2027 (Target): Extraordinary general meetings of shareholders for both institutions.
  • April 1, 2028 (Target): Effective date of the share exchange and formal launch of the integrated holding company.

The closing remains subject to customary anti-monopoly reviews, domestic banking authorizations, and the effectiveness of a Form F-4 registration statement with the U.S. Securities and Exchange Commission, required due to U.S.-based holders of Shiga Bank common stock.

Strategic Rationale and Capital Moves

The transaction deepens a relationship formalised on April 17, 2026, when the lenders entered into the "Senshu Ikeda-Shiga Alliance," initially agreeing to mutual cross-shareholdings of 0.5% to 1.0% alongside joint initiatives in syndicated lending, M&A consulting, and personnel exchanges.

Concurrently with the merger announcement, Shiga Bank signed a share purchase agreement to acquire Ariake Master Fund’s entire equity stake of 30,523,100 shares in Senshu Ikeda Holdings. Upon settlement, Shiga Bank's ownership in Senshu Ikeda will rise to 32,854,600 shares, establishing it as the holding company's largest shareholder with an equity stake of roughly 11.8%.

The consolidation reflects accelerating realignment across Japan’s regional banking sector, where lenders face demographic decline, increasing digital expenditure requirements, and a transitioning interest rate environment that rewards larger deposit bases and balance sheet scale. Both institutions noted that integration will allow for unified capital allocation, shared systems development, and expanded corporate solution capabilities without sacrificing local ties.
